Firmware License Agreement
This agreement is between you and Nissin Japan Ltd. (hereinafter "the Company") and sets forth the terms and conditions under which the Company provides you with firmware upgrade software for the applicable product (hereinafter "Firmware File"). By closing this document and clicking "Start Download," you agree to be bound by the terms of this agreement. If you do not agree, you may not use the "Firmware File."
License
- You may install and use the "Firmware File" on a relevant Company product that you own via a computer, SD card, etc.
- You may not sublicense, sell, distribute, rent, lease, lend, or transfer the "Firmware File," or copy, translate, adapt, or rewrite it into other programming languages without permission from the Company. You also may not modify, alter, disassemble, decompile, or reverse engineer the "Firmware File" in whole or in part, nor may you engage a third party to do so.
- Except as expressly provided in this agreement, the Company does not grant or license to you any of its intellectual property rights related to the "Firmware File."
Ownership
- The "Firmware File" is protected by copyright and is owned by the Company. You agree that this agreement does not transfer any ownership or intellectual property rights to you.
Support and Updates
- The Company assumes no responsibility for your use of the "Firmware File." Furthermore, the Company has no obligation to provide updates, bug fixes, or support for the "Firmware File."
Disclaimer of Warranty and Limitation of Liability
- The "Firmware File" is licensed "as is." The Company makes no warranties of any kind, express or implied, regarding the "Firmware File."
- The Company shall not be liable for any damages (including loss of profits or any other consequential or incidental damages) arising from the use or inability to use the "Firmware File."
- The Company shall not be liable for any disputes that may arise between you and any third party resulting from or related to your use of the "Firmware File."
Term
- This agreement becomes effective when you click "Start Download" and shall remain in effect until terminated as follows.
- You may terminate this agreement by deleting the "Firmware File" installed on your relevant Company product, or by disposing of or transferring the applicable product.
- If you breach any provision of this agreement, this agreement shall terminate immediately.
- You shall immediately delete all "Firmware Files" upon the termination of this agreement as described above.
Severability
- If any provision of this agreement is held to be invalid, the remaining provisions of this agreement shall continue to be in full force and effect.
General Provisions
- By clicking "Start Download," you agree that you have read and understood this agreement and agree to be bound by its terms. You agree that this agreement is the complete and exclusive statement of the agreement between you and the Company, superseding all prior oral or written agreements between you and the Company regarding all matters set forth herein.
